1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the software applications, services and websites provided by M2K Developments (“we”, “us”, “our”). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Definitions

  • “Services” means the software applications and services provided by us (including mobile or web apps, APIs, websites) under your account.
  • “Account” means your user account registered with us.
  • “Content” means any text, images, data or other materials you upload or submit via the Service.
  • “You” means you as the user of the Services.

3. Eligibility

You must be at least 13 years old (or the minimum age under your jurisdiction) to create an account and use the Services. If you are under the age required in your country, you may only use the Services with the involvement of a parent or guardian.

4. Account Registration & Authentication

To use certain features of the Services you may need to create an Account and authenticate (e.g., via OAuth). You agree to provide accurate and up-to-date information and keep your account credentials secure. You are responsible for all activity that occurs under your account.

5. User Content

You retain ownership of the Content you submit or upload via the Services. By submitting Content you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute and publicly display the Content as necessary to provide and improve the Services.
You agree that your Content does not violate any laws or infringe any third-party rights. We may remove or disable access to your Content at our discretion.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful or harmful purpose.
  • Upload or transmit content that is infringing, defamatory, obscene, or otherwise violates third-party rights.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to the system or other accounts.

7. Intellectual Property

All intellectual property rights in the Services (excluding your Content) are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.

8. Payment and Subscriptions (if applicable)

If the Services include paid features, you agree to pay the fees in the amounts and at the times indicated. We may change pricing, but we will provide notice. Fees are non-refundable except as required by law.
You are responsible for taxes associated with your purchases.

9. Termination

We may suspend or terminate your Account or access to the Services at any time, with or without cause and with or without notice. You may also close your Account at any time via your account settings. On termination, we may delete or de-identify your data in accordance with our Privacy Policy and applicable law.

10. Disclaimers & Limitation of Liability

The Services are provided “as-is” and “as-available”. We make no warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement.
To the maximum extent permitted by law, our liability is limited to the amount you’ve paid us in the past twelve months or a small nominal amount (e.g., USD 100) if you’ve paid nothing. We are not liable for indirect, incidental or consequential damages.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of [Insert jurisdiction — e.g., “the State of [State], USA” or “England and Wales” or another jurisdiction where your company is incorporated”]. You and we submit to the exclusive jurisdiction of the courts of that jurisdiction, unless mandatory law provides otherwise.

12. Changes to Terms

13. Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed to be modified to the minimum extent necessary to make it valid and enforceable; the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
